Corporate Paralegal
Job Description
An innovative law firm in Oakland, California is seeking a Corporate Paralegal to provide essential support to attorneys and senior paralegals. This role focuses on corporate entity formation and maintenance, transaction deal management, and supporting various legal operations. The ideal candidate will demonstrate initiative, be detail-oriented, and possess excellent organizational skills. They are looking for a highly motivated paralegal with a keen eye for detail and a passion for delivering exceptional service.
Salary Range: $60,000 - $81,000 / year DOE
Corporate Paralegal Responsibilities:
- Meet an annual billable hour requirement of 1,500 hours and assist with transaction deal management, including due diligence and drafting agreements
- Draft and prepare corporate formation and maintenance documents, including articles of incorporation, bylaws, operating agreements, and resolutions
- Conduct name availability searches, prepare registration documents, and register businesses in foreign jurisdictions
- Organize and maintain corporate minute books and prepare and file employer identification number applications and election documents
- Coordinate the signing, assembly, and distribution of closing sets and post-closing deliverables
- Review and summarize contracts as directed by attorneys and manage client team activities and engagement
- Mentor and train Paralegal Assistants and stay updated on industry developments through in-house training and CLEs
Corporate Paralegal Requirements:
- 3-5 years of related paralegal experience on the defense side
- Associate s degree required; Bachelor s degree or Paralegal Certificate from an ABA-approved program is preferred but not required
- Proficiency in Microsoft Office, Teams, and document management software
- Highly organized, detail-oriented, and able to manage multiple tasks effectively
- Strong communication and interpersonal skills
- Ability to work collaboratively and adapt to changing business demands
